Terms of Use

Terms of Use

Last updated: October 19, 2026

These Terms of Use ("Terms") govern your access to and use of the VEYA website, platform, and related services, features, and content (collectively, the "Service") provided by VEYA ("we," "our," or "us").

By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a company or organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree with these Terms, you must discontinue use of the Service.

1. Eligibility

You must be at least 16 years old to use the Service. By accessing or using VEYA, you represent that you meet this requirement and that the information you provide is accurate and complete.

If you use the Service on behalf of an organization, you must have the authority to accept these Terms on its behalf.

2. Account Registration and Security

Certain features of the Service require you to create an account. You agree to provide accurate registration information and keep it up to date.

You are responsible for:

  • Maintaining the confidentiality of your account credentials.

  • Securing access to your account and connected applications.

  • All activities performed through your account, except where caused by our own breach of applicable obligations.

  • Notifying us promptly if you suspect unauthorized access to your account.

We may take reasonable measures to protect your account and the Service, including temporarily restricting access when necessary to investigate suspicious activity or prevent security risks.

For security-related concerns, contact us using the security contact information provided on our website.

3. Acceptable Use

You agree to use VEYA only for lawful purposes and in accordance with these Terms.

You must not:

  • Use the Service to violate applicable laws, regulations, or third-party rights.

  • Use VEYA to create, distribute, or facilitate malware, phishing attacks, spam, fraud, or other harmful activities.

  • Attempt to gain unauthorized access to accounts, systems, data, or connected services.

  • Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service, except where applicable law expressly permits it.

  • Interfere with, disrupt, or compromise the security, integrity, or performance of the Service.

  • Circumvent usage limits, rate limits, authentication requirements, or other access controls.

  • Resell, sublicense, or redistribute access to the Service without our prior written permission.

  • Use the Service to develop or operate a competing product in violation of applicable law or any valid contractual restriction.

  • Upload or process content you do not have the right to use.

  • Use automation features to perform unauthorized actions, violate third-party platform rules, or bypass security safeguards.

We reserve the right to investigate suspected violations and take appropriate action to protect VEYA, our users, and third parties.

4. Your Content and Data

You retain ownership of the content, information, files, instructions, and other materials you submit to or connect with VEYA ("Your Content"), subject to any rights held by third parties.

You grant us a limited, non-exclusive license to access, host, process, transmit, and otherwise use Your Content only as reasonably necessary to provide, secure, maintain, and support the Service, execute your requested workflows, and comply with applicable legal obligations.

You are responsible for:

  • Ensuring that Your Content is accurate and lawful.

  • Obtaining the necessary rights, permissions, and consents to submit or process Your Content.

  • Ensuring that your use of connected data complies with applicable privacy laws and third-party agreements.

  • Reviewing the permissions granted to VEYA and the applications you connect.

We do not claim ownership of Your Content. Our use of that content is subject to these Terms and our Privacy Policy.

5. AI-Generated Outputs and Automated Actions

VEYA uses artificial intelligence and automation technologies to generate responses, summaries, recommendations, drafts, workflow results, and other outputs ("Outputs"), and to perform actions based on your instructions and configuration.

You acknowledge that:

  • AI-generated Outputs may contain errors, omissions, outdated information, or inaccurate conclusions.

  • Outputs are not guaranteed to be complete, accurate, reliable, or suitable for a particular purpose.

  • You are responsible for reviewing Outputs and determining whether they are appropriate for your intended use.

  • Automated workflows may produce unintended results if instructions, connected data, permissions, or configurations are incorrect.

  • You are responsible for configuring workflows appropriately and determining which actions require human review or approval.

  • You should not rely on Outputs as a substitute for qualified professional, legal, financial, medical, or other specialized advice.

Where VEYA can execute actions in connected applications, you authorize the Service to perform the actions you configure or request, subject to the permissions you grant and the capabilities of the relevant integration.

You should carefully review high-impact or irreversible actions before enabling automatic execution. We are not responsible for consequences arising from incorrect instructions, improperly configured workflows, or third-party systems, except to the extent liability cannot be excluded under applicable law.

6. Subscriptions and Billing

Some features of VEYA may require a paid subscription.

By purchasing a subscription, you agree to pay the fees and applicable taxes disclosed at the time of purchase. Subscription details, usage limits, included features, and billing frequency will be presented through the relevant pricing or checkout experience.

Unless otherwise stated:

  • Subscriptions renew automatically at the end of each billing cycle.

  • You may cancel your subscription through the available account or billing settings.

  • Cancellation generally takes effect at the end of the current paid billing period.

  • Fees already paid are non-refundable except where required by law or expressly stated otherwise.

  • You remain responsible for fees incurred before cancellation takes effect.

We may change subscription prices or plan features. Where a price change affects an existing subscription, we will provide advance notice as required by applicable law before the change takes effect.

If a payment fails, we may notify you and restrict paid features until the outstanding payment is resolved, subject to applicable law.

7. Intellectual Property

The Service, including its software, interface, design, branding, documentation, underlying technology, and related intellectual property, is owned by VEYA or its licensors and is protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purposes.

Except as expressly permitted by law or authorized by us in writing, you may not copy, modify, distribute, sell, lease, or create derivative works of the Service or its proprietary components.

You retain your rights to Your Content. Ownership and permitted use of third-party materials remain subject to the rights of their respective owners.

8. Third-Party Integrations and Services

VEYA may connect with third-party applications, platforms, APIs, and services to support automated workflows.

Your use of these integrations may be subject to additional terms, privacy policies, permissions, and usage limits imposed by the relevant providers.

You acknowledge that:

  • Third-party services may change, become unavailable, or discontinue their integrations.

  • Integration functionality may depend on permissions, API availability, and third-party policies.

  • VEYA does not control the operation, security, or independent practices of third-party services.

  • You are responsible for ensuring that your use of connected services is authorized and compliant with their applicable terms.

We may modify, suspend, or remove integrations when necessary due to technical, legal, security, or operational considerations.

9. Privacy

Your use of VEYA is also governed by our Privacy Policy, which explains how we collect, use, process, and protect personal information.

By using the Service, you acknowledge that information may be processed as described in that policy, including information required to execute workflows and interact with connected applications.

You can review our Privacy Policy at the privacy policy page linked from the VEYA website.

10. Service Availability and Support

We aim to provide a reliable and useful Service, but we do not guarantee uninterrupted, error-free, or continuous availability.

The Service may be temporarily unavailable due to maintenance, updates, technical issues, infrastructure failures, third-party outages, or circumstances beyond our reasonable control.

We may modify, suspend, or discontinue certain features when necessary. Where reasonably practicable, we will provide notice of significant changes that materially affect the Service.

Any support services or response times will be subject to the terms of your plan or any separate agreement with us.

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis.

We disclaim warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent such disclaimers are legally permitted.

We do not guarantee that the Service will meet every requirement, that AI-generated results will always be accurate, that workflows will execute without errors, or that every third-party integration will remain available.

Nothing in these Terms excludes any warranty or consumer right that cannot legally be excluded under applicable law.

12. Limitation of Liability

To the maximum extent permitted by applicable law, VEYA and its affiliates, officers, employees, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or data arising from or related to your use of the Service.

To the maximum extent permitted by law, our total aggregate liability for claims arising out of or relating to the Service or these Terms will not exceed the total fees you paid to VEYA for the Service during the 12 months immediately preceding the event giving rise to the claim.

These limitations apply regardless of the legal theory under which a claim is brought, to the extent permitted by applicable law.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

13. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless VEYA and its affiliates, officers, and employees against third-party claims, losses, liabilities, and reasonable legal expenses arising from:

  • Your unlawful use of the Service.

  • Your violation of these Terms.

  • Your infringement of a third party's rights.

  • Your Content or the permissions you grant in connection with it.

  • Your unauthorized use of connected applications or automated actions.

We will provide reasonable notice of any claim for which indemnification is sought and reasonable cooperation in its defense. You may not settle a claim in a manner that imposes obligations or admits liability on our behalf without our prior written consent.

14. Suspension and Termination

You may stop using VEYA and close your account through the available account settings or by contacting us.

We may suspend or terminate access to the Service if:

  • You materially violate these Terms.

  • Your use creates a security risk or threatens the integrity of the Service.

  • We are required to do so by law or a relevant third-party provider.

  • Continued provision of the Service becomes impracticable for legal, security, or operational reasons.

Where reasonably practicable, we will provide notice and an opportunity to address a violation before taking action, unless immediate action is necessary.

Upon termination, your permission to use the Service ends. The handling and deletion of your personal information will be governed by our Privacy Policy and applicable law.

Provisions that by their nature should survive termination, including those concerning intellectual property, disclaimers, liability, indemnification, and disputes, will survive to the extent applicable.

15. Governing Law and Disputes

These Terms will be governed by the laws applicable to VEYA's designated jurisdiction, as specified in any applicable supplemental terms, without regard to conflict-of-law principles.

The parties will attempt to resolve disputes arising from these Terms or the Service through good-faith discussions before pursuing formal proceedings, where appropriate.

Any applicable court jurisdiction, arbitration requirements, or dispute resolution procedures will be specified in supplemental terms where necessary and will remain subject to mandatory consumer protection laws.

16. Changes to These Terms

We may update these Terms to reflect changes to our Service, business practices, or legal obligations.

When changes are material, we will update the date at the top of this page and provide notice through the Service, by email, or through another appropriate method where required.

The revised Terms will take effect on the date specified in the notice. Where applicable law requires affirmative consent, we will obtain it before applying the revised Terms to you.

Your continued use of the Service after the revised Terms take effect constitutes acceptance of those changes to the extent permitted by law.

17. General Provisions

Entire Agreement. These Terms, together with the policies and supplemental agreements referenced in them, constitute the agreement between you and VEYA concerning your use of the Service.

Severability. If any provision is found to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

No Waiver. Our failure to enforce a provision does not constitute a waiver of our right to enforce it later.

Assignment. You may not transfer your rights or obligations under these Terms without our prior written consent, except where applicable law provides otherwise. We may assign these Terms as part of a merger, acquisition, corporate restructuring, or transfer of relevant assets, subject to applicable law.

Force Majeure. We will not be responsible for delays or failures caused by circumstances beyond our reasonable control, to the extent permitted by law.
